These Terms & Conditions ("Terms") govern your access to and use of the website, application, software platform and services provided by Ribaso Software Solutions Private Limited ("Ribaso", "we", "us" or "our").

By accessing or using Ribaso, creating an account, starting a free trial or purchasing a subscription, you agree to these Terms.

1. About Ribaso

Ribaso is a technology platform built for insurance agents, professionals and insurance distribution teams.

Ribaso provides software that helps users manage their insurance workflow, including client inquiries, structured RFQs, requests to multiple insurers, insurer responses, quote tracking, quote comparison, follow-ups, renewals and commission reconciliation.

Ribaso provides the technology and workflow infrastructure. Ribaso does not issue insurance policies, determine insurance coverage, underwrite risks or settle insurance claims. Insurance policies are issued and administered by the relevant insurer.

2. Using Ribaso

You may use Ribaso only for legitimate business purposes and in accordance with these Terms and applicable laws.

You are responsible for:

• Providing accurate information when creating and using your account;
• Keeping your login credentials secure;
• Ensuring that information entered into Ribaso is accurate and that you have the necessary rights or permissions to use and share such information;
• Using the platform only for authorised business activities; and
• Maintaining the confidentiality of your account credentials.

You must not use Ribaso to conduct fraudulent, unlawful or unauthorised activities or to interfere with the operation or security of the platform.

3. Ribaso Platform

Ribaso provides tools that may allow you to:

• Create and manage client inquiries;
• Structure insurance requirements into RFQs;
• Send requests to multiple insurers;
• Receive and organise insurer responses;
• Track and compare quotes;
• Manage follow-ups and renewal reminders;
• Track policies and related information; and
• Reconcile insurance commissions.

Features may change, be updated or be discontinued as Ribaso develops its platform. Ribaso does not guarantee that every insurer will respond to an RFQ, that a quote will be available, or that information received from an insurer will remain unchanged.

4. Insurance Information and Decisions

Ribaso is a technology platform and does not make insurance decisions on behalf of users, clients or insurers. Premiums, coverage, exclusions, underwriting decisions, policy issuance and claims decisions are determined by the relevant insurer. Users are responsible for reviewing quotations, policy documents and other insurance information before presenting or communicating them to their clients. Ribaso is not responsible for an insurer's decision, pricing, availability, coverage, policy terms or claims outcome.

5. Client and Business Information

Users may enter client, prospect, policy, quotation, insurer, employee and other business information into Ribaso. You are responsible for ensuring that you have the appropriate authority and permissions to provide such information to Ribaso and use it through the platform. Ribaso will process information in accordance with its Privacy Policy.

6. Free Trial

Ribaso may provide eligible users with a 15-day free trial. The free trial is provided to allow users to evaluate the platform before purchasing a paid subscription. Unless otherwise stated by Ribaso:

• No payment is required to start the standard free trial;
• Ribaso may limit or refuse repeated free trials for the same user or organisation; and
• Continued access to paid features after the trial may require a paid subscription.

Ribaso may modify or discontinue the free trial offering at any time.

7. Subscriptions and Payments

Certain Ribaso features and services may require a paid subscription. Before purchasing a subscription, the applicable price and plan details will be presented to the customer. By purchasing a subscription, you agree to pay the applicable subscription charges and taxes. Payments may be processed through third-party payment service providers. Ribaso does not control the independent processing systems of such providers. Access to paid services may be suspended where applicable payments remain outstanding.

8. Cancellation and Refunds

Cancellation and refund requests are governed by Ribaso's Refund & Cancellation Policy. Unless otherwise stated in an applicable subscription agreement, cancellation does not automatically create an entitlement to a refund. Any refund will be subject to the applicable Refund & Cancellation Policy and the circumstances of the request.

9. Intellectual Property

Ribaso and all related software, technology, designs, interfaces, branding, logos, content and other materials are owned by or licensed to Ribaso Software Solutions Private Limited. Your subscription or use of Ribaso does not transfer ownership of any Ribaso intellectual property to you. You may not copy, reproduce, resell, modify, reverse engineer or commercially exploit Ribaso or any part of its technology without Ribaso's prior written permission, except where permitted by applicable law.

10. Service Availability

Ribaso will make reasonable efforts to keep the platform available and operational. However, Ribaso does not guarantee uninterrupted or error-free access.

The platform may be temporarily unavailable because of maintenance, upgrades, technical issues, security measures, internet or infrastructure failures, or issues affecting third-party services.

11. Account Suspension or Termination

Ribaso may suspend or terminate access to an account if:

• These Terms are materially breached;
• The account is used for unlawful, fraudulent or unauthorised activity;
• The platform or its security is being misused;
• Required subscription payments remain unpaid; or
• Suspension is reasonably necessary to protect Ribaso, its users or third parties.

Users may stop using Ribaso at any time, subject to any applicable subscription or contractual obligations.

12. Disclaimer

Ribaso provides software and workflow technology. While Ribaso aims to provide reliable tools and accurate processing of information, the platform may depend on information supplied by users, insurers and other third parties. Ribaso does not guarantee the accuracy, completeness or availability of information received from third parties. Ribaso does not provide insurance underwriting, policy issuance, claims settlement or guarantees regarding any insurance product.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ribaso will not be liable for indirect, incidental or consequential losses arising from the use of the platform, including losses resulting from third-party services, insurer decisions, business interruption or loss of business opportunities. Nothing in these Terms limits any liability that cannot legally be limited under applicable law.

14. Changes to These Terms

Ribaso may update these Terms when necessary to reflect changes to its platform, services or legal requirements. The updated version will be published on this page with a revised "Last Updated" date. Continued use of Ribaso after an update constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of India.

Any dispute relating to these Terms or the use of Ribaso shall be subject to the jurisdiction of the competent courts in New Delhi, India, subject to applicable law.
